The Court : This is an application for dissolution without winding-up of the transferor company following the sanction of a scheme of amalgamation.

The official liquidator is present. The reports of the official liquidator and the auditor do not speak of the affairs of the transferor company having been conducted in a manner prejudicial to the interests of its shareholders or prejudicial to public interest. There will be an order in terms of prayers (a) to (c) of the Judge's summons dated July 20, 2012. The applicants will pay costs assessed at 400 GM to the Official Liquidator's Establishment Charges Account.
